Subject to the terms of this EULA and payment of applicable fees, Perseus grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. The Service is provided as a multi-tenant software-as-a-service (SaaS) application.
The license is granted on a per-employee, per-month basis. Each active employee record in your workspace counts toward your licensed capacity.
Perseus offers a 14-day free trial of the Service with full functionality. No credit card is required. Upon expiration of the trial, continued use requires purchase of a paid subscription. Perseus reserves the right to modify or discontinue the trial at any time.
The Service integrates with Microsoft Entra ID for single sign-on authentication and with Microsoft Dynamics 365 Business Central for employee data synchronization. These integrations are optional features. Use of Microsoft services is governed by your separate agreements with Microsoft. Perseus is not responsible for the availability or performance of Microsoft services.

The Service, including all code, documentation, designs, user interfaces, and content, is the exclusive property of Perseus Enterprises Inc. This EULA does not transfer any ownership rights. All rights not expressly granted herein are reserved by Perseus.
You retain all ownership rights to the data you submit to the Service ("Customer Data"). Perseus will not access, use, or disclose Customer Data except as necessary to provide the Service, comply with the law, or as otherwise permitted by you.
Perseus implements commercially reasonable security safeguards to protect Customer Data, including encryption at rest (256-bit AES) and in transit (TLS 1.2+), multi-tenant row-level isolation, and regular security assessments.
Upon termination, Customer Data will be retained for thirty (30) days to allow export, after which it will be permanently and irreversibly deleted.
Perseus collects and processes personal data in accordance with applicable privacy laws, including PIPEDA (Canada) and GDPR (where applicable). For details on how we handle personal information, see our Privacy Policy and the Lookio Privacy Policy.
Perseus provides email support for the Service during regular business hours. Support includes assistance with account setup, configuration, and troubleshooting. Support does not include custom development, data migration services, or training beyond the Service's documented capabilities.

Subscription fees are billed monthly at the per-employee rate published at lookio.com/pricing at the time of purchase. Perseus reserves the right to change pricing with 30 days' written notice. Price changes take effect at the start of the next billing cycle. All fees are non-refundable except as required by law.
Perseus targets 99.9% uptime for the Service, excluding scheduled maintenance windows. The Service is hosted on Microsoft Azure infrastructure. Perseus is not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PERSEUS DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
IN NO EVENT SHALL PERSEUS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS EULA OR THE USE OF THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.
PERSEUS'S TOTAL AGGREGATE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
This EULA is effective until terminated. You may terminate it at any time by cancelling your subscription. Perseus may terminate this EULA if you breach any of its terms. Upon termination, your license to use the Service ceases immediately and your data will be retained for thirty (30) days before permanent deletion.
This EULA shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of laws provisions. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.
Perseus may update this EULA from time to time. We will provide at least thirty (30) days' advance notice of material changes. Continued use of the Service after the effective date constitutes acceptance of the revised terms.
